Terms of Service & End-User License Agreement

1. Acceptance of Terms

By downloading, installing, or using the Chirpr mobile application (“App”) or accessing any related website, API, or service (collectively, the “Service”), you (“User” or “you”) agree to be bound by these Terms of Service and this End-User License Agreement (together, the “Terms”). If you do not accept the Terms, do not use the Service.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to create an account. The App is rated 17+ in the App Store because it permits user-generated communications that may occasionally contain mature themes.

3. Limited License ✦ Apple Required EULA Language

Subject to these Terms, Chirpr, Inc. (“Company,” “we,” “our”) grants you a personal, revocable, non-transferable, non-exclusive license to use the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions. Apple is not a party to these Terms and is not responsible for the App or its content.

4. User-Generated Content

• No tolerance for objectionable content or abusive behavior (see Community Guidelines).
• We reserve the right, but not the obligation, to moderate, edit, remove, or refuse any content at our sole discretion.
• We will review and act on any user report of objectionable content within 24 hours; offending content may be removed and the responsible account terminated.
• By posting, you grant the Company a worldwide, royalty-free, sublicensable license to host, display, and redistribute your content solely within the Service.

5. Prohibited Conduct

You agree not to (i) post content that violates the Guidelines, (ii) harass, threaten, or impersonate others, (iii) upload viruses or malicious code, (iv) reverse-engineer the App, or (v) use automated scripts to scrape or flood the Service.

6. Account Suspension & Termination

We may suspend or terminate your access at any time, with or without notice, for behavior that violates these Terms or our Guidelines. Upon termination, all licenses granted to you will immediately cease.

7. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not guarantee the accuracy, availability, or reliability of any content. Sports scores and other data may be delayed or inaccurate.

8. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates will not be liable for indirect, incidental, consequential, or punitive damages, or any loss of data, revenue, or profits arising from your use of the Service.

9. Indemnity

You agree to defend, indemnify, and hold harmless the Company from any claims or damages arising out of your content, conduct, or violation of these Terms.

10. Updates & Modifications

We may modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance. If you disagree with changes, you must stop using the Service.

11. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts of Miami-Dade County, Florida.
